Vendor Contracts
Efficient vendor procurement is key to operational success and Kaleo Legal is ready to assist. Our Procurement and Sourcing Team has six attorneys who are experienced and well-positioned to handle sourcing, procurement, and all other vendor commercial contracts for all types of companies. Every day we review, redline and negotiate agreements including software licensing agreements, SaaS agreements, professional services agreements, consulting agreements, master services agreements, vendor contracts, statements of work, order forms, amendments, renewals, hotel and event contracts, DPAs and NDAs.
At the outset of our engagement, our Procurement and Sourcing Team routinely works closely with procurement, finance and IT departments to set up a workflow based on our clients’ existing systems and preferred guardrails for acceptable risks. These guardrails can range from low dollar thresholds, to vendor services that will not access critical data, systems or IT infrastructure. We can customize an initial intake template to collect the critical information we need upfront to mitigate risks, protect your interests, and optimize the efficiency of commercial transactions. For example, we will ask for a description of the vendor’s services, the cost of those services, and whether your company will share confidential, personal, or financial information with the vendor. These details, and many more, will inform our recommended contractual and cybersecurity revisions and will allow us to provide accurate and timely guidance to your internal business units and company leadership.
Under our subscription model, we are adept at developing shared tracking spreadsheets, so your team will always be one mouse-click away from knowing the status of every contract. We are also familiar with learning and using your contract management system, whether it be Ironclad, Jira, Hubspot or Sharepoint. In addition, we offer to train your teams in the basics of essential contract terms in order to lower your company’s risk profile and increase the overall velocity of the procurement process.
